Terms of Service
1. Who these terms are between
These terms are between you, whether an individual or organisation using w2a, and Pardus Solutions (Pvt) Ltd, a company registered in Zimbabwe and operating the w2a platform. By creating an account or using the service you agree to them. If you accept on behalf of an organisation, you confirm you are authorised to bind it.
2. Your account
- Provide accurate registration details and keep them current.
- Keep PINs and access credentials confidential.
- Owners and administrators control access to organisational data and should remove access promptly when roles change.
- Notify us without delay if unauthorised access is suspected.
3. Acceptable use
You may not use w2a to break laws; send unsolicited bulk messages or message people who have not opted in or have asked you to stop; impersonate others; promote prohibited goods or services; harass, threaten, defraud or exploit people; collect information without a lawful basis; attempt to breach security or access another organisation's data; or reverse engineer, resell or white-label the platform without written agreement.
4. WhatsApp and Meta obligations
w2a delivers messages through the WhatsApp Business Platform. Meta's rules apply to businesses using the service.
- Opt-in is mandatory where required.
- Opt-outs must be honoured promptly.
- Business-initiated messages outside the applicable customer service window must use Meta-approved templates where required.
- Prohibited categories under Meta's Commerce and Messaging policies may not be sold or promoted.
- Meta may suspend or restrict WhatsApp Business accounts for policy breaches. That decision is Meta's and w2a cannot guarantee reinstatement.
You remain responsible for compliance with Meta's policies and the consequences of your own policy breaches.

5. Data protection responsibilities
The Cyber and Data Protection Act [Chapter 12:07] applies to personal information handled through w2a.
- You are generally the data controller for information collected from customers, members, learners, patients or citizens. You decide what to collect, why and for how long, and remain responsible for applicable lawful-basis and registration/notification duties.
- w2a is generally a processor for that information, acting on your instructions, and provides technical controls described in the Privacy Policy.
- w2a is the controller for its own account information and website processing.
- Where required, w2a can enter into a data processing agreement. Contact dpo@w2a.co.zw.
- You remain responsible for responding to data-subject requests concerning your records; w2a will assist.
Do not use w2a to collect special categories of personal information unless you have a lawful basis and appropriate safeguards.
6. Electronic signatures
w2a captures handwritten electronic signatures together with an evidence trail such as signer number, timestamp, IP address, device description, wording displayed and tamper-detection hashes. Signing links are single-use and expiring, and captured signatures cannot be overwritten.
w2a does not give legal advice on whether an electronic signature is valid or enforceable for a particular document. You should obtain advice appropriate to your jurisdiction and use case.
7. Payments and fees
- Applicable w2a fees are agreed in writing before being charged.
- Customer payments are between you and your customers. w2a facilitates payment through licensed providers and does not hold your funds unless a separately agreed and legally authorised model applies.
- Refunds, disputes and chargebacks with your customers remain your responsibility.
- Payment providers have their own fees and terms.
8. Availability and support
We work to keep w2a available and provide notice of planned maintenance where practical. We do not guarantee uninterrupted service because the platform depends on WhatsApp/Meta, payment providers, mobile networks and hosting providers that we do not control. Enterprise and government customers may agree specific support commitments separately.
9. Intellectual property
The w2a platform, software, design and documentation remain the property of Pardus Solutions. Your data, branding, product information and configured application content remain yours. You grant w2a the limited licence needed to host and deliver the service. Generated documents, records and exports belong to you. You may not copy, resell or create a competing product from the platform without permission.
10. Liability
To the fullest extent permitted by law, the service is provided on an "as is" basis. We do not warrant that it will be error-free or meet every requirement. We are not liable for indirect or consequential loss, lost profits or business opportunities, nor for acts of third parties including Meta, payment providers and networks. Where liability cannot be excluded, it is limited to the fees paid to w2a in the three months before the event giving rise to the claim. Nothing excludes liability that cannot lawfully be excluded, including fraud.
11. Suspension and termination
- You may stop using w2a at any time and request deletion of your account.
- We may suspend or terminate accounts that breach these terms, Meta policies, applicable law or create material legal/security risk.
- Where circumstances allow, we will warn you and give an opportunity to put things right.
- On termination you may export your data. After a reasonable period we may delete it except where retention is legally required.
12. Changes
We improve the platform continuously and features may change. We may update these terms and will revise the last-updated date. Where a change materially affects rights, we will provide appropriate notice.
13. Governing law
These terms are governed by the laws of Zimbabwe, and the courts of Zimbabwe have jurisdiction. We would prefer to resolve disagreements constructively; please contact us before escalating where practical.
